Program Mentor Terms & Conditions

These Terms & Conditions govern the association between Ignited Minds Academy, an initiative of Ignited Minds Edutech Pvt. Ltd. ("Academy", "IMA", "we", "us" or "our"), and any individual accepted or engaged as a Program Mentor ("Mentor", "you" or "your").
By submitting an Expression of Interest, accepting a programme assignment, participating in programme development, or delivering any programme through the Academy, the Mentor agrees to these Terms & Conditions.
1. Purpose of Association
The Program Mentor initiative is intended to engage academicians, researchers, professionals, trainers, consultants, institutional leaders and subject-matter experts in the development and delivery of:
- Expert talks
- Workshops
- Short-Term Training Programmes
- Faculty Development Programmes
- Certification courses
- Masterclasses
- Bootcamps
- Research and publication programmes
- Executive education programmes
- Institutional training programmes
- Mentorship-based programmes
- Webinars, panels and academic sessions
- Other approved academic or professional learning initiatives
The exact scope of each programme will be mutually discussed and confirmed separately.
2. Eligibility and Profile Verification
The Mentor must provide accurate and complete information regarding:
- Academic qualifications
- Professional experience
- Current designation and affiliation
- Subject expertise
- Training or teaching experience
- Publications, certifications or professional credentials
- Contact details
- Supporting documents
The Academy reserves the right to verify any information, qualification, affiliation, publication, certification or professional claim submitted by the Mentor.
Submission of false, incomplete, misleading or unverifiable information may result in rejection, suspension or termination of the association.
3. Selection and Approval
Submission of an Expression of Interest does not guarantee:
- Selection as a Program Mentor
- Approval of a proposed programme
- Programme launch
- Participant enrolment
- Institutional collaboration
- Honorarium or earnings
- Future assignments
- Any minimum number of programmes
The Academy may accept, reject, defer or request modifications to any proposal at its discretion.
The decision may be based on:
- Relevance of the proposed programme
- Mentor's expertise and experience
- Quality of programme content
- Market or learner demand
- Institutional requirements
- Feasibility
- Availability of resources
- Ethical and professional considerations
4. Nature of Engagement
Unless otherwise confirmed in writing, the Mentor's association with the Academy shall be on an independent, non-exclusive and assignment-based basis.
The Mentor shall not be considered:
- An employee
- A legal representative
- A partner
- An agent
- A franchisee
- A permanent faculty member
- An authorised signatory of the Academy
The Mentor shall not create any obligation, representation, commitment or liability on behalf of the Academy without prior written approval.
5. Programme Proposal and Development
The Mentor may propose a programme based on their area of expertise.
A programme proposal may include:
- Programme title
- Programme category
- Subject area
- Target audience
- Duration
- Delivery mode
- Programme overview
- Learning objectives
- Learning outcomes
- Session-wise syllabus
- Practical activities
- Assessments
- Required tools or resources
- Proposed schedule
The Academy may suggest modifications to the programme title, duration, format, positioning, syllabus, pricing, schedule or delivery method.
The final programme shall be launched only after mutual approval.
6. Mentor Responsibilities
The Mentor agrees to:
- Deliver the programme professionally and responsibly
- Maintain academic and professional integrity
- Provide accurate and updated programme information
- Prepare and submit required learning material on time
- Follow the approved programme structure
- Be punctual and available for scheduled sessions
- Inform the Academy promptly of any expected delay or inability to participate
- Engage respectfully with participants, institutions and team members
- Avoid discriminatory, abusive, offensive or inappropriate conduct
- Maintain confidentiality where required
- Support programme evaluation and feedback processes
- Follow applicable laws, institutional policies and professional standards
The Mentor must not use the programme for unauthorised commercial solicitation, political promotion, religious persuasion, recruitment, personal fundraising or promotion of unrelated products and services.
7. Academic Integrity and Originality
The Mentor confirms that all submitted or delivered content shall be:
- Original, properly licensed or appropriately attributed
- Free from plagiarism
- Factually responsible
- Academically ethical
- Legally usable
- Free from unauthorised third-party material
The Mentor shall obtain permission before using copyrighted:
- Images
- Videos
- Books
- Articles
- Case studies
- Software
- Data
- Training materials
- Assessment tools
- Other protected content
The Mentor shall be solely responsible for any claim arising from unauthorised use of third-party intellectual property.
8. Programme Content Standards
Programme content must not:
- Promote misinformation or deceptive claims
- Violate applicable law
- Encourage harmful or illegal conduct
- Contain defamatory or discriminatory material
- Infringe privacy or confidentiality
- Violate copyright or intellectual-property rights
- Contain undisclosed sponsored or promotional content
- Misrepresent academic, professional or institutional credentials
- Provide guaranteed academic, career, financial, medical or legal outcomes
The Academy may require removal, correction or revision of any content considered inappropriate, inaccurate or non-compliant.
9. Use of Name, Profile and Photograph
By accepting a programme assignment, the Mentor authorises the Academy to use their approved:
- Name
- Photograph
- Designation
- Institutional affiliation
- Professional profile
- Biography
- Academic credentials
- Social-media links
- Programme title
- Session details
These may be used for:
- Website pages
- Social-media promotions
- Brochures
- Posters
- Email campaigns
- Institutional proposals
- Certificates
- Event announcements
- Programme documentation
- Reports and publicity material
The Academy shall make reasonable efforts to use accurate and professional information.
The Mentor must inform the Academy of any required correction before programme promotion.
10. Branding and Public Representation
The Mentor must not use the name, logo, brand identity or official material of:
- Ignited Minds Academy
- Ignited Minds Edutech Pvt. Ltd.
- IMPARC
- MentorsGate
- Any associated initiative
without prior approval.
The Mentor must not publicly represent themselves as an employee, director, official spokesperson or authorised representative unless such role has been separately confirmed in writing.
Promotional material created independently by the Mentor must be approved before publication.
11. Programme Scheduling
The final date, time, duration and delivery mode shall be mutually confirmed.
The Mentor agrees to:
- Attend coordination meetings when reasonably required
- Join online sessions before the scheduled start time
- Complete technical checks where applicable
- Inform the Academy at the earliest in case of emergency
- Avoid last-minute cancellation except in unavoidable circumstances
Repeated delays, cancellations or non-responsiveness may result in suspension or termination of future engagements.
12. Cancellation and Rescheduling
The Academy may cancel, defer or reschedule a programme due to:
- Insufficient registrations
- Institutional requirements
- Technical difficulties
- Force majeure
- Speaker unavailability
- Administrative reasons
- Quality or compliance concerns
- Other operational circumstances
Where possible, the Academy will communicate such changes in advance.
The Mentor shall not be entitled to compensation for a cancelled programme unless specifically agreed in writing.
13. No Guaranteed Engagements or Earnings
Registration, selection or listing as a Program Mentor does not guarantee:
- Any minimum number of programmes
- Any minimum number of participants
- Any institutional assignment
- Any recurring engagement
- Any fixed income
- Any minimum honorarium
- Any commercial benefit
- Any long-term contract
Programme opportunities shall depend on suitability, demand, approvals, feasibility and mutual agreement.
14. Honorarium, Fees and Commercial Terms
Honorarium, professional fee, revenue-sharing or other financial terms, if applicable, shall be confirmed separately for each programme.
Commercial terms may depend on:
- Programme format
- Duration
- Number of sessions
- Number of participants
- Registration fee
- Institutional budget
- Mentor responsibilities
- Production requirements
- Promotional expenditure
- Technical and administrative costs
No payment shall be due unless confirmed in writing.
The Mentor shall not independently collect any programme fee from participants unless specifically authorised.
15. Taxes and Statutory Obligations
The Mentor shall be responsible for their own:
- Income-tax obligations
- Professional-tax obligations
- GST or other tax requirements, where applicable
- Invoicing requirements
- Banking details
- Statutory declarations
The Academy may deduct tax at source or apply statutory deductions as required by law.
The Mentor must provide valid payment and tax information when requested.
16. Participant Data and Privacy
The Mentor may receive limited participant information only where necessary for programme delivery.
The Mentor shall:
- Use participant data only for the approved programme
- Keep personal information confidential
- Not sell, transfer or share participant data
- Not add participants to personal mailing lists without consent
- Not contact participants for unrelated commercial purposes
- Delete or return participant data when requested
Participant data remains under the control of the Academy or the collaborating institution, as applicable.
17. Confidentiality
The Mentor shall maintain confidentiality regarding any non-public information relating to:
- Programme planning
- Pricing
- Institutional discussions
- Participant information
- Internal processes
- Business strategy
- Technology systems
- Commercial arrangements
- Partner institutions
- Unpublished materials
Confidential information shall not be disclosed without prior written permission.
This obligation shall continue even after the programme or association ends.
18. Recording of Sessions
The Academy may record online or offline sessions for:
- Documentation
- Quality review
- Participant access
- Promotional excerpts
- Learning archives
- Institutional reporting
- Internal training
The Mentor shall be informed wherever practical.
The intended use of full programme recordings may be separately agreed, particularly for paid or certification courses.
The Mentor must not independently record or distribute participant discussions without consent.
19. Intellectual Property
Mentor-Owned Existing Material
Pre-existing presentations, frameworks, research, methods, templates and learning resources developed independently by the Mentor shall generally remain the Mentor's property.
Jointly Developed Programme Material
Programme content jointly created by the Mentor and Academy may be governed by a separate written agreement.
Academy Materials
The following shall remain the property of the Academy:
- Academy branding
- Programme webpages
- Promotional designs
- Registration data
- Certificates
- Marketing campaigns
- Administrative formats
- Internal programme processes
- Academy-created recordings or edited promotional content
Licence for Programme Delivery
The Mentor grants the Academy a limited, non-exclusive licence to use approved programme information and submitted material for planning, promotion, delivery, documentation and participant communication.
Any continuing commercial use of full course material should be separately agreed in writing.
20. Programme Recording and Reuse
The Academy shall not commercially sell or permanently reuse full Mentor-owned course recordings beyond the agreed programme purpose unless permission or licence terms have been confirmed.
Short excerpts, screenshots, photographs or highlights may be used for programme promotion, reporting or institutional visibility unless the Mentor raises a reasonable written objection before the programme.
21. Certificates and Representation
Certificates may be issued to participants based on:
- Attendance
- Completion
- Assessment
- Assignment submission
- Programme requirements
The Mentor shall not independently issue certificates using the Academy's name or logo.
Mentor certificates, letters or acknowledgements may be issued according to the nature of the contribution and shall not be interpreted as employment, accreditation or statutory recognition.
22. Institutional Collaboration
Approved programmes may be proposed to universities, colleges, companies, government bodies or other institutions.
Institutional collaboration may involve:
- Co-branding
- Programme customisation
- Institutional nomination of participants
- Offline delivery
- Revenue-sharing
- Joint certification
- Special reporting
- Additional compliance requirements
The Mentor may be required to agree to institution-specific terms before delivery.
The Academy does not guarantee that any institution will accept or collaborate on a proposed programme.
23. Conflict of Interest
The Mentor must disclose any actual or potential conflict of interest, including:
- Competing institutional commitments
- Commercial interests
- Sponsorship relationships
- Personal interests affecting programme objectivity
- Ownership in products or services recommended during the programme
The Academy may impose disclosure requirements or decline the engagement where a conflict may affect credibility or fairness.
24. Code of Conduct
The Mentor shall maintain respectful, inclusive and professional conduct.
The following are prohibited:
- Harassment
- Bullying
- Discrimination
- Hate speech
- Sexual misconduct
- Threats
- Humiliation of participants
- Unauthorised recording
- Financial solicitation
- Misuse of participant information
- Promotion of illegal activity
- Misrepresentation of credentials
Any complaint may be reviewed by the Academy, and appropriate action may be taken.
25. Complaints and Investigations
The Academy may investigate complaints relating to:
- Academic misconduct
- Plagiarism
- Professional behaviour
- Participant safety
- False credentials
- Misuse of data
- Copyright infringement
- Financial misconduct
- Misrepresentation
The Mentor may be requested to provide an explanation or supporting documents.
During an investigation, the Academy may temporarily suspend programme promotion, delivery, listing or payment.
Failure to cooperate may result in termination.
26. Suspension or Termination
The Academy may suspend or terminate the Mentor association where the Mentor:
- Provides false or misleading information
- Violates academic integrity
- Misuses the Academy's name or brand
- Breaches confidentiality
- Engages in misconduct
- Repeatedly cancels programmes
- Fails to deliver agreed responsibilities
- Violates participant privacy
- Infringes intellectual-property rights
- Causes reputational, legal or financial risk
- Violates these Terms & Conditions
The Mentor may withdraw from the programme mentor network by providing written notice.
Withdrawal shall not affect obligations relating to confidentiality, intellectual property, participant data or previous engagements.
27. Indemnity
The Mentor agrees to be responsible for claims, losses, damages or expenses arising from:
- False professional representations
- Copyright infringement
- Misuse of third-party content
- Breach of confidentiality
- Unauthorised use of participant data
- Misconduct
- Violation of law
- Negligent or misleading programme content
This shall apply to the extent permitted by applicable law.
28. Limitation of Liability
The Academy shall not be responsible for:
- Loss of anticipated income
- Lack of participant enrolment
- Cancellation by an institution
- Internet or technical failure
- Third-party platform disruption
- Participant misuse of programme content
- Indirect or consequential loss
- Independent statements made by the Mentor
The Academy shall make reasonable efforts to support programme delivery but does not guarantee uninterrupted services or commercial success.
29. Professional and Regulated Advice
Where a programme involves medical, legal, financial, psychological, therapeutic or other regulated professional information, the Mentor must:
- Clearly state the educational nature of the programme
- Avoid personalised diagnosis or professional advice unless legally authorised
- Maintain appropriate disclaimers
- Follow professional licensing and ethical requirements
- Avoid guaranteeing results
The Mentor is responsible for ensuring that their content complies with professional and legal standards.
30. Technology and Online Delivery
For online programmes, the Mentor must:
- Use reliable internet and appropriate equipment
- Maintain a professional environment
- Protect meeting links and access credentials
- Avoid unauthorised sharing of platform access
- Follow technical guidelines issued by the Academy
- Notify the team of technical requirements in advance
The Academy shall not be liable for technical failure caused by the Mentor's equipment, internet connection or software.
31. Force Majeure
Neither party shall be held responsible for failure or delay caused by circumstances beyond reasonable control, including:
- Natural disasters
- Epidemics or public-health emergencies
- Government restrictions
- War or civil disturbance
- Internet or power failure
- Platform outage
- Institutional closure
- Other unforeseen events
The affected programme may be rescheduled, modified or cancelled.
32. Communication
Official communication may be conducted through:
- Phone
- Video meetings
- Academy portal
- Other approved communication channels
The Mentor must maintain updated contact information and respond within a reasonable period.
33. Modification of Terms
The Academy may update these Terms & Conditions when required for legal, operational, academic or institutional reasons.
Updated terms may be published on the website or communicated electronically.
Continued participation after notification shall be treated as acceptance of the updated terms.
Programme-specific written agreements shall prevail over these general Terms where there is a direct conflict.
34. Governing Law and Jurisdiction
These Terms & Conditions shall be governed by the laws of India.
Any dispute shall first be addressed through good-faith discussion and mutual resolution.
If the dispute remains unresolved, it shall be subject to the jurisdiction of the competent courts at M.P., India.
35. Acceptance
By submitting the Expression of Interest or accepting a programme assignment, the Mentor confirms that:
- They have read and understood these Terms & Conditions
- The information provided is accurate
- They agree to follow academic and professional standards
- They understand that no programme, enrolment or earning is guaranteed
- They consent to being contacted regarding programme opportunities
- They accept the use of their approved professional profile for programme-related communication and promotion
